2. Eligibility

3. Account, Accuracy & User Responsibilities

If you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to provide accurate, current, and complete information. You will promptly update information to keep it accurate.

4. User Submissions

By submitting information, forms, documents, messages, or other content ("User Submissions"), you grant BostonMortgagePro a worldwide, royalty-free, perpetual, irrevocable, transferable license to use, reproduce, modify, publish, translate, distribute, and display such User Submissions for the purposes of providing and improving the Services. You represent that you own or control all rights in your User Submissions and that they do not violate these Terms or any law.

5. Third-Party Services & Links

The Services may include links to third-party websites and integrate third-party tools (analytics, CRMs, lenders, calculators). We do not control third-party content or practices and are not responsible for their policies or actions. Use third-party services at your own risk.

6. Intellectual Property

All content on the Services (text, graphics, logos, code, photographs, designs, and other materials) is owned or licensed by BostonMortgagePro and protected by copyright, trademark, and other laws. You may not copy, reproduce, modify, distribute, republish, or create derivative works without our express written permission.

7. Permitted & Prohibited Uses

You may use the Services for lawful, personal, or business purposes consistent with these Terms. Prohibited conduct includes, without limitation: scraping or harvesting data, reverse-engineering, sending spam, uploading malware, circumventing security, impersonation, submitting false information, and violating applicable laws.

8. Disclaimers

EXCEPT AS EXPRESSLY PROVIDED IN A WRITTEN AGREEMENT SIGNED BY AN AUTHORIZED REPRESENTATIVE OF BOSTONMORTGAGEPRO, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BOSTONMORTGAGEPRO, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON LIABILITY; IN THOSE JURISDICTIONS, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

10. Indemnification

You agree to indemnify, defend, and hold harmless BostonMortgagePro and its officers, directors, employees, agents, and affiliates from and against any and all third-party claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your violation of these Terms; (b) your User Submissions; or (c) your misuse of the Services.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users or our operations. Provisions that by their nature should survive termination will survive (e.g., Sections 1, 4, 6, 8, 9, 10, 12).

12. Governing Law & Venue

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law rules. You and BostonMortgagePro agree that any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Suffolk County, Massachusetts.

13. Dispute Resolution & Arbitration

Most disputes should be resolved informally. If that fails, you and BostonMortgagePro agree to resolve disputes through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction. You — to the fullest extent permitted by applicable law — waive any right to a jury trial and to participate in a class or collective action.

If arbitration is found unenforceable, you and we agree that the exclusive venue for disputes will be the courts identified above.

14. Changes to Terms

We may modify these Terms at any time. If we make material changes, we will provide notice (for example via the website or email) and post the updated Terms with a new "Last updated" date. Continued use of the Services after changes constitutes acceptance of the new Terms.

15. Miscellaneous

These Terms constitute the entire agreement between you and BostonMortgagePro regarding the Services and supersede all prior agreements. If any provision is found unenforceable, the remaining provisions will continue in full force and effect. No waiver by us shall be construed as a further or continuing waiver.
